US-based Hamilton Health Care System (HHCS), through its affiliates, has signed a definitive agreement to acquire Tennova Healthcare-Cleveland, as well as certain related businesses, from Community Health Systems’ subsidiaries.
The $160m all-cash transaction is subject to adjustments related to net working capital and other factors.
According to Community Health, there might be additional considerations based on changes to certain supplemental reimbursement programmes.
Tennova Healthcare-Cleveland is a 351-bed hospital in Tennessee, which provides a range of medical services, with an experienced team of physicians and caregivers.
It features a 7,000ft², round-the-clock emergency care unit, a chest pain centre, an orthopaedic joint centre, and a women’s programme.
Community Health Systems said that this Cleveland hospital was one of the facilities that was mentioned as an additional ‘potential divestitures’ during the earnings call for the fourth quarter and year-end 2023.

According to Chattanoogan.com, through the latest acquisition, HHCS aims to enhance care delivery and support local care teams and healthcare decision-making in the region.
By combining resources between the two hospitals, HHCS hopes to attract clinicians specialising in medical subspecialties, improve regional healthcare capabilities, and expand the existing services in the region.
Chattanoogan.com quoted Tennova Healthcare-Cleveland CEO Jarrett Millsaps as saying: “HHCS has a demonstrated commitment to delivering quality care to the patients they serve across the communities they serve.
“Our tradition of delivering medical services close to home will be enhanced through this alignment and the dedication and skill of our medical staff and employees.”
HHCS is an integrated, not-for-profit health system serving north-west Georgia and operates physician practices, diagnostic centres, walk-in care centres, and the 255-bed Hamilton Medical Center in Dalton, among other healthcare facilities.
This flagship hospital in Dalton offers various services, including a cardiovascular programme, an accredited stroke and chest pain centre, a wellness centre, and a cancer institute.
